(b) Notwith­stand­ing oth­er pro­vi­sions of this Agree­ment, this Agree­ment does not con­sti­tute an agree­ment for the sale, assign­ment, assign­ment, assump­tion, trans­fer or sup­ply of shares in a trans­ferred asset or any right, ben­e­fit or oblig­a­tion aris­ing there­from or aris­ing out of a sale, trans­fer, assign­ment, assump­tion of, a trans­fer, deliv­ery or attempt; make such sale, trans­fer, assign­ment, assump­tion, trans­fer or deliv­ery with­out the con­sent of a third par­ty: (i) con­sti­tute a breach or oth­er vio­la­tion of the rights of that third par­ty; (ii) would be inef­fec­tive with respect to a par­ty to a con­tract for that trans­ferred asset; or (iii) in the event of a trans­fer, Buyer‘s rights under such con­tract or the trans­ferred asset would be affect­ed in any way. Where the sale, trans­fer, assign­ment, trans­fer or pro­vi­sion of an inter­est or the buyer‘s assump­tion of lia­bil­i­ty by the buy­er in respect of a trans­ferred asset requires the agree­ment of a third par­ty, such sale, trans­fer, assign­ment, trans­fer, deliv­ery or tak­ing of such con­sent shall be sub­ject to such sale. If Sell­er is unable to obtain the nec­es­sary con­sent, this is sub­ject to applic­a­ble law and the terms of this Agree­ment: (i) Sell­er will retain such agree­ment in trust for Buy­er; (ii) the buy­er must pro­vide all goods and ser­vices, bear all costs and per­form all oth­er acts, to the extent that these are assumed debts nec­es­sary for the per­for­mance of the seller‘s oblig­a­tions under this con­tract at the buyer‘s expense; (iii) The sell­er shall hold, on behalf of the buy­er or on behalf of one of the relat­ed com­pa­nies of the buy­er, and will trans­fer with­out delay to the buy­er or to one of the relat­ed com­pa­nies of the buy­er all amounts received under this con­tract; and (iv) Sell­er will take all oth­er appro­pri­ate action with respect to this Con­tract, as direct­ed by Buyer.…
